REGIONAL GROUPS
A. FORMATION
SECTION 1. The Board of Directors of the Early Ford V-8 Club of America (hereinafter called the National Club) may determine the territorial limits of each chartered Regional Group.
SECTION 2. Granting of a charter will be considered for each prospective club that meets all requirements and obligations provided by the Constitution and By-Laws of the National Club now in force or hereafter adopted.
SECTION 3. A chartered Regional Group shall use only the name designated in its charter. The new Regional Group name shall be the same as the area in which the headquarters are to be located after the Regional Group charter is granted. The NAME of the NEW GROUP shall be "The (area) Regional Group of the Early Ford V-8 Club of America."
SECTION 4. Membership in good standing in the National Club shall be a prerequisite of membership in a Regional Group.
SECTION 5. The charter membership of a Regional Group shall not be less than five (5) active members of the National Club.
SECTION 6. Application for formation of a Regional Group shall be made to the Board of Directors of the National Club in the form of a petition which shall be duly signed by at least five (5) persons who are members in good standing in the National Club. Upon approval of the Board of Directors of the National Club, the petitioning group may be issued a provisional charter which may be made permanent after one year and in compliance with Section 5.
SECTION 7. Any Regional Group that fails to conform to the provisions of the Constitution and By-Laws of the National Club may have its charter and membership herein suspended or revoked by action of the Board of Directors of the National Club, and if charter is revoked, the Regional Group agrees not to use the name "The Early Ford V-8 Club of America" until charter is declared again in force by action of the Board of Directors of the National Club.
SECTION 8. All Regional Groups shall have a 25-mile radius territory using their mailing address as center point but may have members from outside that limit.
B. INCORPORATION
SECTION 1. A Regional Group, after receiving its charter, may incorporate, and said Regional Group shall agree, as a prerequisite to incorporation, that it will, as an incorporated body, abide by the Constitution and By-Laws of the National Club then in force or thereafter from adopted.
C. BOARD OF DIRECTORS
SECTION 1. As soon after organization as possible, a meeting of all members of the Regional Group will be called and a Board of Directors elected by the membership. This Board of Directors shall consist of not less than five (5) members in good standing. A quorum of the Board of Directors shall consist of a majority of the same.
SECTION 2. Immediately following the election of members of the Board of Directors such Board shall meet and from its members elect Regional Group officers as provided in Section D. of this article.
D. OFFICERS OF REGIONAL GROUPS
SECTION 1. The officers of a Regional Group shall be a President, Vice-President, Secretary and/or Treasurer.
SECTION 2. The President shall preside over all meetings of the Board of Directors and meetings of the members. He shall sign all contracts and other instruments of writing which shall have been first approved by the Board of Directors.
SECTION 3. In the absence of the President, or in his inability to act, the Vice-President shall preside in his place.
SECTION 4. The Secretary shall keep a full and complete record of the proceedings of the Board of Directors and meetings of the members; shall make service of such notices as may be necessary and proper; shall supervise and control the keeping of the books and accounts of the Regional Group; and shall discharge such other duties as pertain to his office or as prescribed by the Board of Directors.
SECTION 5. The Treasurer shall receive and safely keep all funds of the Regional Group and deposit same in such bank as may be convenient. Such funds shall be paid out only on the check of the Regional Group signed by the Treasurer.
E. MEETINGS
SECTION 1. A Regional Group shall hold a minimum of six (6) meetings of the Board of Directors during the fiscal year. It may hold such other meetings as the Board of Directors and membership may desire.
SECTION 2. The Secretary of each Regional Group shall, by January 31 of each year, certify to the Executive Secretary of the National Club and its Board of Director Representative, the names of the officers elected to serve in the ensuing year.
SECTION 1. Each year a list of all members, as of June 1 of that year, shall be mailed to the National Club so as to be received not later than July

ARTICLE I
PURPOSE
SECTION 1. The name of the organization (hereafter called the "Regional Group") shall be the Tumbleweed Regional Group of the Early Ford V-8 Club of America. The Early Ford V-8 Club of America is referred to hereafter as the "National Club." The general purpose of this Regional Group shall be to preserve and authentically maintain Ford motor cars of the years 1932 through 1953 inclusive. The Regional Group will also serve as an accurate source of technical information concerning these automobiles for the benefit of its members as well as the public. The Regional Group will provide an organized activities program to promote fellowship, pride of ownership and family participation.
SECTION 2. The Regional Group is a recognized regional group of the National Club and will conduct its affairs in accordance with the By-Laws of the National Club.
SECTION 3. The Regional Group shall be non-commercial, non-sectarian, non-discriminatory, non-partisan, and non-profit.
ARTICLE II
OFFICERS AND DIRECTORS
SECTION 1. The officers of the Regional Group shall be President, Vice-President, Secretary and Treasurer.
SECTION 2. The officers will serve for one year, taking office at the first Regional Group meeting after January 1.
SECTION 3. Vacancies in any office, except Past President, because of death, resignation, removal, disqualification, or any other cause, shall be filled in the same manner as prescribed for a regular election, as soon as practicable after the vacancy arises.
SECTION 4. The Board of Directors will consist of 8 members: President, Vice-President, Secretary, Treasurer and 3 Directors, and the Past President.
SECTION 5. The directors shall assist the officers in formulating policy for the Regional Group.
SECTION 6. Nominees for all offices must be Active Members or Active Joint Members in good standing of the Regional Group and the National Club and must remain in good standing during their term in office.
SECTION 7. None of the officers or directors of the Regional Group, present or future, shall be held personally liable for any claims, damage or debt against the Regional Group.
ARTICLE III
DUTIES OF OFFICERS
SECTION 1. The President shall be the principal executive officer of the Regional Group and in general supervise and control all of the business and affairs of the Regional Group. The President will preside over general meetings. The President shall be the chairman of the Board of Directors. The President shall have the authority to appoint committee chairmen as required, such as the New Mexico Car Council representative, the newsletter editor, the membership chair, and the property manager. The President will appoint an auditing committee which will audit the accounts of the Regional Group. The committee will prepare a report which will be presented at the first general meeting after January 1 each year.
SECTION 2. The Vice-President, in the absence of the President, shall perform the duties of the President. The Vice-President shall also serve as the program chairman.
SECTION 3. The Secretary shall record and retain minutes of the membership meetings and the Board meetings. The Secretary will maintain liaison with the National Club and will make all reports to them on behalf of the Regional Group.
SECTION 4. The Treasurer shall be responsible for all saleable items and have charge and custody of all funds. The Treasurer shall be prepared to give a financial report at each general meeting.
SECTION 5. The Past President shall be advisor to the Board of Directors with a right to vote only in case of a tie.
ARTICLE IV
FISCAL MATTERS
SECTION 1. The Regional Group will establish and maintain a checking account and may establish and maintain one or more savings accounts, money market accounts or certificates of deposit. The authorized signatories on all such accounts shall be the President, the Secretary and the Treasurer, with the signatures of any two such officers being required on any withdrawal.
SECTION 2. Withdrawals of $100 or less for routine, recurring expenditures may be made without approval of the membership. Withdrawals in excess of $100, and withdrawals for non-routine and non-recurring expenses, require approval of the membership.
ARTICLE V
MEMBERSHIP AND MEETINGS
SECTION 1. An Active Member of the Regional Group in good standing must be an Active Member of the National Club and have paid both National Club and Regional Group dues. An Active Member is entitled to all Regional Group privileges, including the right to vote and hold office.
SECTION 2. An Active Joint Member of the National Club in good standing is an Active Joint Member of the Regional Group. Each Active Member and each Active Joint Member is entitled to all Regional Group privileges including the right to vote and hold office.
SECTION 3. The annual dues payable by members shall be an amount determined by the members. All dues are due and payable on the first day of January and will be delinquent on the first day of March. All members who are delinquent will be dropped from active membership.
SECTION 4. Delinquent members will be reinstated within the current year after paying the annual membership dues.
SECTION 5. A member must agree to maintain liability insurance for personal injuries and property damages in compliance with the State laws and show proof of that insurance if required when participating in Regional Group events with his/her vehicle.
SECTION 6. Regular meetings of the membership are normally held the first Tuesday of each month. Special meetings of the members may be called by the President.
SECTION 7. A quorum at a meeting shall consist of 25% of the members in good standing.
SECTION 8. Decisions of the membership require a simple majority vote of members present at any properly convened membership meeting, provided that a quorum is present. However, a decision to dissolve the Regional Group requires a 2/3 majority vote of the members present at any properly convened membership meeting, provided that a quorum is present.
SECTION 9. Board of Directors meetings will normally be held the second Tuesday of the month or as otherwise called by the President.
SECTION 10. The January Board meeting should be a joint meeting of the old and new Boards to establish a budget and calendar for the coming year.
ARTICLE VI
ELECTIONS
SECTION 1. The election of officers shall be by the members in good standing.
SECTION 2. At least two months prior to the election, the President shall appoint a nominating committee consisting of at least three members. The committee shall try to nominate at least two members for each elective office and obtain their consent to serve if elected. Additional nominations may be made from the floor no later than the October meeting. Voting will be either by mail or in person at the November meeting. Mailed votes are valid if the ballot is received at the Regional Group's post office box by the date of the November meeting. All votes and mailed ballots will be counted by an election committee appointed by the President at the November meeting.
SECTION 3. The nominating committee shall prepare a ballot for all Active Members and Active Joint Members to be included in the Newsletter prior to the November general meeting.
ARTICLE VII
NEWSLETTER
SECTION 1. The Regional Group will publish a monthly newsletter for the purposes of relaying information to the Regional Group members and announcing meeting dates and places.
SECTION 2. The newsletter will include the minutes of the last general meeting and last Board meeting and may include the following: calendar, ads, President's message, technical articles, monthly event preview, upcoming programs, birthdays and anniversaries.
SECTION 3. The first newsletter after the October meeting will include the ballots for the November election.
ARTICLE VIII
AMENDMENTS
SECTION 1. These By-Laws may be altered, amended or repealed by a two-thirds vote, provided that a quorum exists by a combination of those present in person or by mailed-in vote.
ARTICLE IX
DISSOLUTION OF THE REGIONAL GROUP
SECTION 1. In the event of the dissolution of the Regional Group, the assets of the Regional Group then remaining after satisfying all Regional Group liabilities shall be donated to an appropriate non-profit organization selected by the Board of Directors.
